Holi Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Holi mobile application for iOS ("Holi," the "App," or the "Service"). The Service is provided by Denis Rossiev, an individual ("we," "us," or "our"). Holi is not operated by, and is not affiliated with, any company or legal entity.

Please read these Terms carefully. By downloading, installing, accessing, or using Holi, you agree to be bound by these Terms. If you do not agree, do not download, install, or use the App.

Please also read the Medical Disclaimer and Artificial Intelligence Features sections below. They are important and limit the ways in which you may rely on the App.

1. Acceptance of Terms and Eligibility

By using Holi, you represent and warrant that:

  • You are at least 16 years of age, and you have reached the age of majority in your country, state, or province of residence, or you have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
  • You have the legal capacity to enter into a binding agreement.
  • You are not barred from using the Service under the laws of your jurisdiction.
  • All information you provide to us is accurate and truthful.

Holi is not directed to children under the age of 16, and we do not knowingly collect data from them. If you believe a person under 16 has provided us with personal data, please contact us at [email protected].

If you use Holi on behalf of, or in connection with, another person (for example, a family member), you represent that you have the authority to do so and to bind that person to these Terms.

2. License to Use the App

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and install one copy of Holi on an Apple-branded device that you own or control, and to use the App for your own personal, non-commercial purposes.

Holi is licensed, not sold, to you. We and our licensors retain all right, title, and interest in and to the App that is not expressly granted to you under these Terms.

2.2 Restrictions on Use

You agree that you will not, and will not permit any third party to:

  • copy, modify, adapt, translate, or create derivative works of the App;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent permitted by applicable law;
  • rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the App or your rights under these Terms;
  • remove, alter, or obscure any proprietary notices on the App;
  • circumvent, disable, or interfere with security-related features of the App, or features that restrict use or copying of content;
  • use the App to build a competing product or service, or to develop a model that competes with the Service;
  • use any automated means (bots, scrapers) to access the App or extract data from it;
  • use the App in any way that violates applicable law or these Terms.

2.3 Apple App Store — Additional Terms (Licensed Application End User License Agreement)

Holi is distributed through the Apple App Store. The following terms apply to your use of the App and are required by Apple. In the event of any conflict between these Terms and Apple's standard Licensed Application End User License Agreement (EULA), the applicable Apple terms will control with respect to your use of the App on Apple devices.

  • Acknowledgement. These Terms are concluded solely between you and us (Denis Rossiev), and not with Apple. Apple is not responsible for the App or its content.
  • Scope of License. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  • Maintenance and Support. We, and not Apple, are solely responsible for providing any maintenance and support services with respect to the App, as required under these Terms or applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
  • Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
  • Product Claims. We, and not Apple, are responsible for addressing any claims of you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of the HealthKit framework.
  • Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, we, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
  • Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Developer Contact. Any questions, complaints, or claims regarding the App should be directed to us at [email protected].
  • Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

3. Medical Disclaimer

HOLI IS A WELLNESS AND INFORMATIONAL TOOL. IT IS NOT A MEDICAL DEVICE, AND IT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

Holi helps you track and understand information about your nutrition, workouts, sleep, body and vital metrics, laboratory biomarkers, biological age estimates, supplements and medications, and menstrual cycle, and it generates insights and suggestions, including through an AI assistant. This content is provided for general informational and educational purposes only.

You acknowledge and agree that:

  • Not medical advice. Nothing in the App — including any metric, score, estimate (such as biological age), trend, insight, suggestion, or AI-generated response — constitutes medical advice, diagnosis, or treatment, and none of it should be treated as a substitute for the advice of a qualified healthcare professional.
  • Not a medical device. Holi is not intended to diagnose, treat, cure, mitigate, or prevent any disease or health condition, and it has not been evaluated or approved by any medical or regulatory authority as a medical device.
  • Consult a professional. Always seek the advice of your physician or another qualified healthcare provider with any questions you may have regarding a medical condition, your diet, exercise, supplements, medications, or before making any changes to your health regimen. Never disregard professional medical advice, or delay seeking it, because of something you have read or seen in Holi.
  • Individual results vary. Health, longevity, and nutrition information is inherently general and may not apply to your specific circumstances. Reliance on any information provided by Holi is solely at your own risk.
  • Accuracy of estimates. Metrics, biomarker interpretations, and biological age estimates are approximations based on the data you provide and on general models, and may be inaccurate or incomplete.

⚠️ EMERGENCIES: Holi is not designed to detect, address, or respond to medical emergencies. If you think you may have a medical emergency, call your doctor or your local emergency number (such as 911 or 112) immediately. Do not rely on Holi in any situation where the failure or inaccuracy of the App could lead to death, personal injury, or physical or environmental damage.

4. Artificial Intelligence Features

Holi includes features powered by artificial intelligence, including an AI assistant that generates responses, insights, and suggestions ("AI-Generated Content"). To provide these features, the App sends the data you supply (which may include health-related data) to third-party AI providers, including OpenRouter, Perplexity, ElevenLabs, and Fal, as further described in our Privacy Policy.

You acknowledge and agree that:

  • AI-Generated Content may be inaccurate, incomplete, outdated, misleading, or offensive, and may not reflect current scientific or medical consensus.
  • AI-Generated Content is generated automatically, is not reviewed by a human before it is shown to you, and does not constitute medical, nutritional, professional, or any other kind of advice.
  • You should independently verify any AI-Generated Content before relying on it, and you should consult a qualified professional before acting on it.
  • We do not guarantee the availability, accuracy, or reliability of any AI feature, and we may add, change, limit (including by imposing rate limits or usage limits), or remove AI features at any time.
  • You are responsible for the inputs you provide to the AI features and for how you use their outputs.

To the maximum extent permitted by applicable law, we disclaim all liability arising from or relating to AI-Generated Content and your use of the AI features.

5. Accounts and Your Responsibilities

To use certain features of Holi, you may need to create an account or otherwise provide information. You are responsible for:

  • providing accurate, current, and complete information;
  • maintaining the confidentiality of any credentials associated with your account and your device;
  • all activity that occurs under your account; and
  • promptly notifying us at [email protected] of any unauthorized use or security breach.

You are responsible for the accuracy of the health and personal data you enter into or connect to Holi. The quality of the insights the App generates depends on the accuracy and completeness of the data you provide.

6. Acceptable Use and Prohibited Conduct

You agree not to use Holi to:

  • violate any applicable law, regulation, or third-party right;
  • upload or transmit any content that is unlawful, infringing, defamatory, harassing, fraudulent, or harmful;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • introduce viruses, malware, or other harmful code;
  • attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service;
  • probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures;
  • interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
  • circumvent, or attempt to circumvent, any usage limits, fees, or access restrictions; or
  • use the Service for any commercial purpose without our prior written consent.

We may investigate and take appropriate action, including suspending or terminating your access, against anyone who, in our sole discretion, violates this section.

7. User Content and Data

7.1 Your Data

The health, nutrition, and personal data you enter into or connect to Holi ("Your Content") belongs to you. We do not claim ownership of Your Content.

7.2 License to Us

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and use Your Content solely as necessary to operate, provide, maintain, secure, and improve the Service for you — including transmitting relevant data to the third-party AI providers described in Section 4 in order to generate responses and insights. This license exists only for as long as, and to the extent, needed to provide the Service to you, and terminates when you delete Your Content or your account, except as described in our Privacy Policy or as required by law.

7.3 Privacy

Our collection, use, storage, and disclosure of your personal data — including data obtained through Apple Health (HealthKit) and data shared with third-party AI providers — are described in our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully. By using Holi, you consent to the practices described in the Privacy Policy.

7.4 Apple Health (HealthKit)

If you choose to connect Holi to Apple Health, we access and use HealthKit data only as you authorize and only to provide the App's features to you. We do not use HealthKit data for advertising, marketing, or other use-based data mining, and we do not sell it. You may revoke Holi's access to Apple Health at any time through your device settings.

7.5 Feedback

If you send us suggestions, ideas, or other feedback about the Service, you agree that we may use it for any purpose, without any obligation to compensate you and without any restriction or confidentiality obligation.

8. Subscriptions, Billing, and Cancellation

Holi may offer paid subscriptions or other in-app purchases. All payments, subscriptions, and in-app purchases are processed by Apple through the App Store and are subject to Apple's standard terms, including the Apple Media Services Terms and Conditions. We do not process or store your payment information.

  • Auto-renewal. Subscriptions are billed on a recurring basis and automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
  • Managing and cancelling. You can view, manage, and cancel your subscription at any time through your Apple ID account settings on your device. Deleting the App does not cancel your subscription.
  • Price changes. Prices and available plans may change. Where required, Apple will notify you of price changes and, where required, seek your consent, in accordance with App Store rules.
  • Refunds. Except where required by applicable law or by Apple's policies, payments are non-refundable, and there are no refunds or credits for partially used periods. Refund requests are handled by Apple in accordance with the App Store's refund policy.
  • Free trials. If a free trial is offered, any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.

Nothing in this section limits any mandatory statutory rights you may have as a consumer, including any right of withdrawal under EU or other applicable law.

9. Intellectual Property

The App, and all content and materials it contains (other than Your Content) — including software, text, graphics, designs, user interfaces, logos, trademarks, and the "Holi" name and branding — are owned by us or our licensors and are protected by intellectual property and other laws. Except for the limited license granted in Section 2, these Terms do not grant you any right, title, or interest in the App or its content.

You may not use the "Holi" name, logos, or trademarks without our prior written permission.

10. Third-Party Services

Holi relies on and integrates with third-party services, including Apple and the App Store, Apple Health (HealthKit), and the AI providers OpenRouter, Perplexity, ElevenLabs, and Fal. These services are provided by third parties, are governed by their own terms and privacy policies, and are provided "as is."

We do not control and are not responsible for third-party services, their availability, their accuracy, or their acts or omissions. Your use of a third-party service is at your own risk and may be subject to that third party's terms. We are not liable for any loss or damage arising from your use of, or reliance on, any third-party service.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY CONTENT, METRIC, ESTIMATE, INSIGHT, OR AI-GENERATED CONTENT IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in these Terms affects any statutory rights that you have as a consumer and that cannot be excluded or limited by contract.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE (DENIS ROSSIEV) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP OR THE SERVICE — INCLUDING ANY RELIANCE ON METRICS, ESTIMATES, INSIGHTS, OR AI-GENERATED CONTENT, OR ANY HEALTH DECISION MADE ON THE BASIS OF THE APP — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY EUROS (€50).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Denis Rossiev from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) Your Content. This section does not apply to the extent a claim arises from our own gross negligence or willful misconduct, or where it is not permitted under applicable law.

14. Termination

These Terms remain in effect while you use the App. You may stop using Holi and delete the App at any time.

We may suspend or terminate your access to the App, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms, with or without notice where permitted by law.

Upon termination, the license granted to you under Section 2 ends and you must stop using the App. Sections that by their nature should survive termination — including Sections 3, 4, 7, 9, 11, 12, 13, and 15 — will survive. Handling of your data after termination is described in our Privacy Policy.

15. Changes to the Terms and to the Service

We may modify these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by updating the "Last Updated" date above or by providing notice in the App. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.

We may also change, suspend, or discontinue the App or any of its features, in whole or in part, at any time, with or without notice. We will not be liable to you or any third party for any such change, suspension, or discontinuation, except as required by applicable law.

16. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to them or to the App, are governed by United Arab Emirates, without regard to its conflict-of-law rules. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of United Arab Emirates, unless applicable mandatory law provides otherwise.

Nothing in this section deprives you of the protection of mandatory consumer-protection provisions of the law of the country in which you reside. If you are a consumer residing in the European Union, you retain the right to bring proceedings in, and to benefit from the mandatory consumer protections of, your country of residence; nothing in these Terms limits those rights. The European Commission also provides an online dispute resolution platform, available at https://ec.europa.eu/consumers/odr.

17. General

  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Apple terms, constitute the entire agreement between you and us regarding the App and supersede any prior agreements.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a transfer of the Service.
  • Headings. Section headings are for convenience only and have no legal effect.
